1. Agreement to Terms

By accessing our website or contracting Conductive Web LLC ("we," "our," or "us") to perform services (including web design, hosting, local SEO campaigns, and Google profile updates), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you are prohibited from using our site or engaging our services.

2. Scope of Services

We provide custom website design, local SEO optimization, Google Business Profile management, and site maintenance. The specific scope, timeline, deliverables, and fees for any project will be outlined in a separate Statement of Work (SOW) or service agreement.

• Turnaround Timelines: Standard 14-day launches are dependent on prompt feedback and content delivery from the client. Delay in assets may adjust launch timelines.
• Design & Assets: Client is responsible for ensuring all images, logos, copy, and reviews provided to us do not violate third-party copyrights.

3. Payments & Billing

Clients agree to pay all deposits, project fees, or subscription charges specified in their invoice. Website projects typically require an initial deposit before work starts.

• Recurring Subscriptions: Hosting, maintenance, and ongoing SEO plans are billed on a recurring monthly or annual basis.
• Late Payments: We reserve the right to suspend hosting and site access if subscription payments are past due by more than 30 days.

4. Intellectual Property

Upon receipt of final payment, ownership of custom front-end assets, site layout designs, copy, and imagery specific to your business will transfer to the client. Conductive Web LLC retains the intellectual property rights to any pre-existing code libraries, developer licenses, tools, or templates utilized in the project.

5. Disclaimer & Limitation of Liability

Our services are provided on an "as-is" and "as-available" basis. While we follow industry-best SEO standards to help you rank on search engines:

• We make no guarantees of specific local rankings, traffic volumes, or lead volumes, as search engine algorithms are proprietary and change frequently.
• In no event shall Conductive Web LLC or its partners be liable for any indirect, incidental, or consequential damages (including loss of business profits) arising from website downtime, rank fluctuations, or service updates.

6. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict of law principles. Any legal action related to these terms shall be filed in the courts located in Marion County, Oregon.
